In this paper we consider the problem of finding a proper rational matrixK(s)of minimal McMillan degree such thatG(s)K(s)is an approximation of[Gtilde](s)whereG(s)and[Gtilde](s)am given matrix-valued functions ofs. The main application of the techniques given is makingG(s)K(s)diagonal dominant, in caseG(s)is rational.
