WHEREASan humble Petition has been presented to Us by the following Membem of the Cohncil of the Institute of Chemistry of Great Britain and Ireland namely William Odling M.A.F.R.S. Past President of the Chemical Society, Waynflete Professor of Chemistry in the University of Oxford, Sir Frederick Augustus Abel C.B. D.C.L. F.R.S. Past President of the Chemical So-ciety Chemist to the War Department Royal Arsenal Woolwich, Charles A. Cameron M.D. Professor of Chemistry in the Royal College of Surgeons, Ireland, Augustus Dupr6 Ph.D. F.R.S. Past President of the Society of Public Analysts, John Ferguson, M.A., Professor of Chemistry in the University of Glasgow, Edward 6 Flankland D.C.L. LL.D. F.R.S. President of the Pharmaceutical Society of Great Britain setting forth amoLzg other things to the effect following-That your Petitioner William Odling is President of the Institute of Chemistry of Great Britain and Ireland and that your Petitioners Frederick Augustus Abel, Charles A. Cameron, John Ferguson, Edward Frankland, Auguste Dupr6 and Walter Weldon are respectively Vice-presidents of the said Institute and that Michael Carteighe is a member of the Council. That the Profession of Analytical and Consulting Chemistry is one of great importance to the public and having regard to the rapidly increasing application of Chemistry to legal investigations, to public health, to the adulteration of food, to Agriculture, and to the Arts and ManuEactures, it is desirable that persons prac- tising the Profession of Analytical and Consulting Chemistry should have both a practical and scientific knowledge thereof.That it is a matter of increasing importance to Government Departments, Corporate bodies and others requiring the assistance of persons competent to practise in analytical Chemistry and to advise in technological Chemistry that such persons should be properly trained and that their qualifications should be attested by Certificates of competency granted by a scientific body possess- ing sufficient status and that at present there is no Institution or Corporate body which has power to issue such Certificates.That the Fellows and Associates of the Institute exceed four hundred and thirty in number and in that number are comprised nearly all the Professors and Teachers of Theoretical and Applied Chemistry and the leading Analysts in the United Kingdom of 7 Great Britain and Ireland together with the Chemical advisers of various departments of Our Government, and no person is admitted Fellow or Associate of the said Society without produc- ing evidence satisfactory to the Council of the Institute that he is proficient in the sciences of Analytical and applied Chemistry and in the allied Sciences. That the said Institute was not established for the purposes of gain nor do the members thereof derive or seek any pecuniary profits froin their membership but the Society aims at the elevation of the profession of Consulting and Analytical chemistry and the promotion of the efficiency and usefulness of persons practising the same by compelling the observance of strict rules of membership and by settiug up a high standard of scientific and practical proficiency.That the Institute was formed in One thousand eight hundred arid seventy seven for the aforesaid yrposes and was incorporated under the Companies’ Acts but by the Memorandiiin of Associa, tion the Institute is expressly precluded from granting such Certificates of competency as aforesaid and there is at present no Institution or Corporate body which has power to issue such Certitica tes, That in the judgment of the Petitioners it would greatly pro-mote the objects for wliich ttie said Institute has been instituted and would also be for ttie yiiblic benefit if the memhrs thereof were incorporated by Royal Charter with power to afford facilities for the better edncation and examination of persons desirous of guelifyiiig t1iem;elves to be public and technical analysts and chemical advisers 011 scietitific subjects of public importance and with power to grant soch certificates of competency as afcresaid as besides other advantages such Incorporation by Charter would be a public recognition of the importance of the Profession of Analytical and Coiisulting Cheinistry and would tend gradually to raise its character and thus to secure for the community the 8 existence of a class of persons we11 qidifiecl to be cinployed in the responsible and difficult dnties ofm devolving upon them. That tlie Petitioners desire and propose that if incorporation by Cliarter is granted to them all pei.sons now Fellows of the Institute as incorporated niider the Coiiilmiies’ Acts (hcreiii:dtm called the Old Institute) be admitted as Fellows of the Iiisiitiite as incorporated 1)s’ Cliarter (and 1iereiImfter c;dled the Iristitutc) and that all persons I~OIV Associates of the Old liistitutc be admitted as Associates of the Institute.That at a meetiiig of the Old Institnte held on the twenty- fourtli day of April One thousand eight linndrcd and cjght,y five a special Resolution was pssscd which was duly coiifiriiied at a snbsc-queut iiieeting licld 011 the elereiitli day of May Oiie tlioiisantl eight huiidrecl and eiglity five reqiiiriiig that the Old Iiistitutc sliould be wound lip rolnntarily and at the last meiitioiied iiiectiiig It, s:h-tioiis vere p:med that Edward Frankland, Charles R.Aldcr Wright and Charles Ed\vard Grorcs be appointed Liqiiidatora for the purpose of winding up the affairs thereof aiid that tlic poivers of 1iqiiidatoi.s should be exercisable by any one or iiiore of tliciii and tlint the said Liquidators should be autliorised if npon the wincliiig iip of the Old Tiistitute tliere should reiiiaiii after the satisfaction of all its debts iirid liabilities any property whatsoever to give and transfei the saue to the Institute, aiid a fiirtlier Re-solution was passed approving a Draft Agreement for the transfer oE all assets aud liabilities of the Old Institute to the Institute arid autliorising the Licjiiidators to enter into such ail Agreement, and carry the same into effect.That with respect to the aclniission of persons hereafter de-sirous of becoming members the Petitioners desire and propose that a strict system of examinatiou should be established arid tliat except as in this Our Cliwter prescribed 110 person slioi~ldbe quali- fied to bccoine an Associate of the Iirstitate until he Iias attained the age of twenty one years and unless he has passed through a course of three years study of Theoretical and Analytical Che- mistry Physics and Elernentary Mathematics and has passed such Examinations in the subjects last mentioned m shall be satisfactory to the Council.That, except as by the Charter provided no person other than an Associate shall be eligible to become a Fellow of the Institute and that except as aforesaid all persons desiring to become Fellows shall satisfy the Council that tliey have for the period of three years since their election as A -51cia tes been continuously engaged in the study and pract]ical work of Applied Chemistry in a maliner satisfactory to the Council. That the Petitioriers believe that such a system would haVe ail educatiotial effect of a highly beneficial kind.That the Petitioners further desire and propose hat the Institute should lay down such rules respecting admissiou to mrhmbersliip and exclusion therefrom as would advance the attaiii- ments character and st&us of Members of the Institute and prvmote their efficiency and usefulness. That the Petitioners further desire that the Council should be empowered to grant certificates of cornpetericy to members tliereof and that the Fellows and Associates should be authorised to annex to their names distinctive letters indicative of their status as Fellr,ws or Associates of the Institute. That the Petitioners are advised and believe that under existing legislation their principal objects cannot be attained otherwise than by a Royal Charter and in particular that incorporation under the Companies’ Acts was unsuitable to the Pctitioiiers since the Old Institute as merely self-constituted and self-regulated under those Acts has not nor is entitled to the same respect a one consti tided under a Charter emanating from Us.10 AND WHEREAS by the said Petition the Petitioners on behalf of themselves and the other members of the Institube most liumbly prayed that We would be graciously pleased to grant Our Royal Charter for incorporating under the title of the Institute of Chemistry of Great Britain and Ireland or under such other title as to Us might seem fit and with all such pon-ers and privileges as are mentioned in the Petition or such others as to Us might seem fit the Petitioners and the several persons who were then Members of the said Institute and other the persons who might thereafter become Members of the Institute in pursuance of the regulations thereof.NOW THEREFORE We having taken the said Petition into Our Royal consideration and being satisfied that the intentions of the Petitioners are laudable and deserving of encouragement have constituted erected and incorporated ANDWE by virtue of Our Prerogative Royal and of Our mpecial grace certain kiiowledge and mere motion by these Presents for Us and Our Royal Sncces- sors Do constitute erect and incorporate into one body politic and corporate by the name of the INSTITUTE OF GREATOF CHEMISTRY BRITAINAND IRELAND,the said William Odling, Frederick Augustus Abel, Charles A.Cameron, Auguste Dupre, John Fergu- son, Edward Frankland, Walter Weldou and Michael Carteighe and such other persons as are by this Our Charter made or declared to be members of the said body corporate with perpetud sncces-sion and a Commou Seal, and with power to alter and renew the same at discretion WILLING and ordaining that the said body corporate (hereinafter referred to as the Institute) shall be capable in law to take and hold any personal property and also to take purchase and hold lands buildings and hereditaments for the pur-poses of the Institcte with power to dispose thereof but so that the Institute shall apply its profits (if any) or other income in pro-moting its objects, and shall not at any time pay any dividend to its Members.11 AND We do also will ordain and declare as follows (that is to S@--1. SUBJINTto the provisions of this Our Charter the Institute sh:d1 have power to receive from the Liquidatom of the Institute referred to in the recitals of this Our Charter a.s the Old Institute and to hold all the lands buildings property rights and easements which immediately before the date of this Our Charter were vested in the Old Institute or in any person in trust for them or to ahich the Old Institute were in anywise entitled and all moneys securities credits choses in action books papers effects and other property whatsoever which immediately before the date of this Our Charter belonged to the Old Institute or to any Trustee on their behalf and the benefit of all contracts and engagements entered into by or on behalf of the Old Institute and in force immediately before the date of this Our Charter to the same extent and for the sme estate and interest as the same were previously to the date of this Our Charter vested in the Old Institute or any Trus~eeon their behalf.2. THEREshall be a Council of the Institute in this Our Charter referred to as the Council consisting (subject to the pro- visions of any bye-law) of not more than thirty-six persons being Fellows of the InstitsUte and one of the Members of the Council shall be the President of the Institute, and also the President of the Council and six Members of the Council shall be Vice-Presidents of the Institute and of the Council.Frederick Angristus Abel, C.B. Newlands, Frederick James Montague Page, James Emerson Reynolds, Edward Riley, William James Russell, Thomas Stevenson, William Thorp, William Augustus Tilden, Thomas Tyrer, William Wallace and Robert Warington shall be ordinary Members of the first Council, and Charles Edward Groves sliall be the first Secretary. In case of a Vacancy in the Offices of President, Vice-president or Treasurer, such vacancy shall be filled up by the Council from their own body.The first Members of the Council and the first President, Vice- Presidents, Treasurer and Secretary shall hold office utitil the first General Meeting and thenceforth until Members of the Council and a President, Vice-presidents, Treasurer and Secretary are elected or appointed respectively in manner by bye-laws of the Institute provided and the first Members of the Council and first President, Vice-Presidents, Treasurer and Secretary or their respective successors appointed by the Council under the last foregoing clause shall be eligible or may be appointed at the first election or appointment. 3. THEMembers of the Institute &a11 be divided into two classes to be styled Fellows and Associates.The Fellows of the Old Institute shall be Fellows of the Institute and the Associates of the Old Institute shall be Asso-ciates of the Institute. 4. THECouncil shall require from every other person desiring to become an Associate of the Institute evidence of the following qualifications :- 14 (1) That he is not less than twenty one yeam of age. (2) That he has been educated and trained in such manner as the Council shall from time to time direct. (3) Tha-t he has passed an Examination approved by the Coiincil in Chemistry Physics and Elementary Mathe- matics conducted by a recognised University College School or Society and has passed such other Examina- tion or Examinations as shall be prescribed by the Council.5. THECouncil shall require from every Candidate for a Fellowship in cases where such Candidate has not been admitted as an Associate the evidence of the following qualifications :-(1) That he is not less than twenty four years of age. (2) That he has passed through a course of t!iree years’ training to the satisfaction of the Council in I’heoretical and Snalytical Chemistry and Physics and has subse- quently been engaged for three years either as assistant to a Chemist of repute or as a Professor or Demonstrator of Practical Chemistry at some known University Col- lege or Medical School or as a Chemist in a Technical Indnstry or has after three years’ training as above condncted and pulrdished an original research of sufficient merit in the opinion of the Conucil on some chemical subject necessitating practical work-or that he has been trained and occupied in other ways which in the opinion of the Council are equjvalent to fulfiling the conditioiis hereinlncfore contained.In cases where the person applying for admission as a Fellow has previously been admitted as an Associate the Council shall ~.vyuireof every such person proof that he possesses the under-liientioned qualifications :- 15 (1) That he is not less than twenty four yeam of age. (2) That he has since his admission as an Associate and for a period of three years therefrom been continuously engaged in the study and practical work of applied Chemistry in a manner that shall be satisfactory to the Council.Where Candidates are unable to produce evidence upon the above points satisfactory to the Council an examination shall be imposed. 6. THECouncil shall deide whether any person applying to be admitted as Fellow or Associate has or has not fulfilled such of the Conditions in the foregoing provisions of this Our Charter &s are applicable in his case. 7. THEfirst Meeting of the Council shall be held at Burling- ton House on the last Friday in the month of October next after the date of this Our Charter. 8. TEECouncil shall have the management and superintend- ence of the affairs of the Institute and shall appoint and may ivmove and shall determine the duties salaries and remuneration of the Registrar, Professors, Lecturers, Examiners, Secretary, Li-brarians, Custodiaus, Solicitors, Clerks, and other Officers and Ser-vants of the Institute and shall determine the securities if any to be taken from them or any of them respectively and may make such arrangements and enter into such agreements with them or any of them as the Council shall think fit.The Council may also at Meetings at each of which (subject to the provisions of any bye-law) four members at the least of the Council are present and actiug lawfully exercise all the powers of the Institute except as to such mirtters as are by this Our Charter or by bye-laws of the In-stitute directed to be transacted by or at a General Meeting of the Members of the Institute and until the first General Meeting of 16 the Members of the Tnstitute the affairs of the Institnte and the Meetings and proceedings of the Council shall as far as may be and subject to any express provision of this Our Charter be conducted managed and regulated according to and by the Memorandum and Articles of Association Rules Regulations and Bye-laws of the Old Institute as if that Institute were the Institrite incorpo- rated by this Our Charter.9. THECouncil shall have power to apply the funds of the Institute in acquiring extending and improving the Library or Libraries of the Institute and in the acqnisition renting or erection and fitting up of a Hall or Halls Laboratory or Laboratories for the use of the Members of the Institute and in the purchase or renting of a site or sites for a Library Hall and Laboratory or Libraries Halls and La;loratories and in paying the salaries of Regishrar, Professors, Lecturers, Examiners, Secretary, Librarians, Ciistodims and other Officers and Servants for any purposes of the Institute, in giving prizes and founding Professorships, Lectureships and Scholarships, in priuting and publishing any reports documents or papers of any kind in establishing and conducting classes for instruction in the Science of Chemistry and the allied sciences in the purchase of apparatus and appliances for Chemical Experiments and pursuits and in otherwise promoting the objects of the Institute: But the Council shall not apply the funds of the Institute in erecting or purcllasing any building or in purchasing a site for any building vitliout the appr>)val of a general meeting of the members of the Institute convened with notice of this object.10. ALLpowers which under the provisions of this Our Charter may be exercised by the Council shall be exercised by them in accordance with and subject to the provisions of this Our Charter and to the bye-laws of the Institute and the exercise of those powers shall be subject also to the control and rega1;ttion of any general rnceting of the Institute but not so as to malie invalid aiiy act done by the Council previously to any resolution passed at a general meeting and any act or proceeding of the Coimcil shall not be invalidated or be illegal in consequence of there being any vacancy in the Council at tlie time of such act or proceeding being done or taken.11. FROMthe time when the first bye-laws made under this Our Charter come into operation the Council from time to time sliall cause Examinations to be held of all persons applying to be admitted Associates or Fellows of the Institiite and liable to Exaininatioii and shall under tlie foregoing provisions of this Onr Charter appoint Examiners for that purpose who shall hold office for such periods as the Council shall determine. VPONthe aduiission of any person as Fellow or Associate of the Iustihte he shall obtain from the Coniicil a Certificate of Fellon-ship or of Association npon payment of sncli entrance fee as may be fixed uiider the bye-laws of the Iiistitute and eveiy bleiiiber of the Institute shall once in every year whilst he con-tirines a Mcinber of the Iiistitute renew such Certificate on pay- nieiit of such sum as sliall be prescribed by the bye-lams of the Iusti tnte. 13. Fitox the time when the first bye-laws made under this Our Clinrtor coiiie into operation every Fellow and Associate of the Institute slid1 in every year reckoned from such day as bye-lams of tlie Institute from time to time prescribe pay to the Cvuiicil for tlie use of the Institute such eutraiice or other fees sum or aums as may be prescribed by sucli bye-laws Provided always that every Fellow or Associate niay at any time compound for some or all of any future aniiual paj-meiits by paying as a com-position such a sum in gross as sliall be prescribed by the bje-lams of the Institute.18 14. ANYperson while being a Member of the Institute may use after his name the Initials (if he be a Fellow of the Institute) F. I. C. or (if he be an Associate of the Institute) A. I. C. 15. AT every General or Special Meeting of the Institute every Member whether Fellow or Associate shall have a Vote either in person or by proxy but a Member shall not be entitled to vote at any meeting who is in arrear with any subscription or other sum payable by him under bye-lams of the Institute. IFany person while he is a Member of the Institute Allows any person not being either a Member of the Institute or in Partnership with himself as an Analytical or Consulting Chemist to practise in his name as an Analytical OF Consulting Chemist or Is convicted of felony or misdemeanor or is finally de- clared by any Court of competeut Jurisdiction to have committed any fraud or Is held by the Council on the complaint of any Member of the Institute or of any person aggrieved to have been guilty of any act or default discreditable to the Profes- sion of Analytical or Consulting Clieinist or Is adjudged Bankrupt or individually or as Partner makes an Assignment for the benefit of Creditors or under any resolution of Creditors or under the Order of a Court of Bankruptcy or under any deed or docurnetit lins his estate placed in liquidation for the benefit of Creditors or makes any arrangement for payment of a composition to Creditors or Shall engage in any occupation which in the opinion of the Council shall be inconsistent with his remaining a Member of the Institute or (6) Fails to pay any subscription or other sum payable by him to the Institute under this Our Charter or bye-laws of the Institute for one year after the same has become due he shall be liable to be excluded from Membership or to be SUS-pended for any period not exceeding two years from Membership by a resolution of the Council passed at a meeting specially con- vened for that pnrpose with notice of such purpose at which meeting there shall be present not less than eight of the Members of the Council and for which exclusion or suspension not less than three-fourths of those present and voting shall vote, and the Member having first had an opportunity of being heard, but any such exclusion or suspension may be at any time revoked or modified by the Council at a like meeting by such a majority as aforesaid subject to such terms and conditions (if any) as the Council may think fit, and notice of any resolutian for exclusion or suspension shall forthwith be sent to the person affected thereby.17.IFany person ceases for any cause whatever to be a Mem-ber of the Institute he shall not nor shall his representatives hare any interest in or claim against the funds or property of the Insti- tute nor shall he use any initials after his name implying that he is a Fellow or Associate of the Institute. 18. THEInstitute shall with all reasonable expedition by resolution of a General Meeting confirmed at a subseqnent General Meeting held not less than seven and not more than twenty eight days after the former Meeting make bye-lams for all or any of the following purposes namely For determining and regulating the terms and conditions (other than but not inconsistent with those specially mentioned in this Our Charter) for and the mode of admission of Fellows and Associates of the Institute.20 For appointing the fees subscriptions arid other sums to be paid by Fellows or Associates of the Institute for Certifi- cates of Fellowship or dssociatioii and tlie ternis or periods at which such fees subscriptions and other sunis to be paid by Nenibers of the Institute sliall be payable. For regulating the mode time and place of sutnmoniiig aiid holdiiig aiiiiuitl aud other general Xee tiiigs and special Meetings of tlie Institute and the form of voting whether in person or by proxy, and the conduct of proceediiigs at any such meetings. For regulating the number of members of the Couiicil aiid their periodical retirement and the mode of uoininittion of Fellows of the Institute, for election to the Council aiid the giving of notice of such nomiiiatioii and the conduct of the election and the mode of filling casual vacancies in the Council, and the number of iiieinbers who shall be required to be present at the iiieetiiig of the Couucil aiid acting thereat and tlie adjonrnment thereof, aud the proceedings thereat.For regulating the mode of election or appointment of the President Vice-presidents and Treasurer and their tenure of office. For regdating the appointment of Trustees and their powers and duties mid the disposal of the moneys and property of the Institute.
