The debate on whether the roles of CEO and the chairman of the board should be separate continues in both the United States and Britain. The answer must depend largely on what a board does. Using previous theory and research on responses to organisational decline, this paper extends the literature into the boardroom to predict outside director behaviour. In so doing, this paper refocuses the corporate governance research towards individual outside directors as opposed to the traditional focus on the overall board. This study addresses the question of whether directors of publicly listed companies engage in self‐serving behaviour. Specifically, the enquiry considers whether directors in failing firms reduce personal shareholdings in their firms as failure approaches. The answer not only has implications for shareholders and regulators but has importance in terms of agency theory.
